These Terms of Service ("Terms") govern your access to and use of KaizenFragrance.com, including purchases, accounts, product listings, reviews, communications, sourcing requests, and any other services offered by Kaizen Fragrance ("Kaizen Fragrance," "we," "us," or "our").

By accessing the website, creating an account, placing an order, submitting a review, selling or consigning an item to us, or otherwise using our services, you agree to these Terms and to our Privacy Policy, Refund Policy, and Shipping & Insurance Policy. If you do not agree, do not use the website or services.

Kaizen Fragrance is an independent fragrance resale and specialty retail business. We may sell or source fragrances, candles, skincare, haircare, fragrance accessories, decants, samples, testers, boxes, caps, and related products.

Some products may be brand new, sealed, open-box, tester units, partial bottles, vintage items, discontinued items, sourced items, or resale items. Each product listing should be reviewed carefully before purchase.

Kaizen Fragrance is an independent reseller. Unless we expressly state otherwise in writing, we are not affiliated with, sponsored by, endorsed by, approved by, or an authorized distributor, dealer, or retailer of any third-party fragrance house, designer brand, manufacturer, trademark owner, or retailer whose products may appear on our website.

Brand names, product names, logos, bottle designs, packaging references, and trademarks belong to their respective owners and are used only to identify the genuine products being offered for resale, comparison, description, or informational purposes. Any such use is intended as nominative and descriptive use only.

Nothing on the website should be interpreted as a claim that Kaizen Fragrance is the manufacturer of third-party branded products or that any third-party brand approves of our resale, sourcing, commentary, or product descriptions.

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order, create an account, submit a seller inquiry, or use any paid service on the website.

By using the website or placing an order, you represent that:

• You are legally able to enter into a binding contract.
• The information you provide is accurate and complete.
• You are the authorized user of the payment method used.
• Your purchase is for lawful personal, gift, resale, or business purposes.
• Your purchase will comply with all applicable laws, carrier rules, customs rules, and import/export restrictions.

We may refuse service, cancel orders, suspend accounts, or restrict access where we believe a user has violated these Terms, created risk for Kaizen Fragrance, submitted false information, engaged in abuse or fraud, or attempted to purchase or ship items unlawfully.

You may be required to create an account to access certain services, order history, store credit, sourcing requests, or seller/consignment features.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly if you believe your account has been accessed without authorization.

We may suspend, restrict, or terminate accounts for suspected fraud, abuse, chargeback misuse, policy violations, unlawful activity, or security concerns.

Because Kaizen Fragrance sells resale, sourced, specialty, and sometimes limited-availability goods, product listings may differ from ordinary authorized-retailer listings. Each product listing may include one or more condition descriptors:

Kaizen Fragrance intends to sell only genuine products. We do not knowingly sell counterfeit goods.

Our authenticity review may include visual inspection, batch-code review, packaging review, bottle review, cap/sprayer review, purchase-source review, seller history, scent comparison, weight/fill inspection, documentation review, and other commercially reasonable checks. No resale authentication process is perfect, and we do not represent that we are a certified authentication laboratory or an authorized brand authentication service.

Fragrance products may vary by batch, year, reformulation, storage history, packaging version, concentration, region of distribution, and manufacturer changes. Scent perception is subjective and may vary based on skin chemistry, storage conditions, age of product, application, climate, and individual sensitivity.

Unless a listing expressly guarantees a specific batch, formulation, packaging version, country of origin, or production year, any references to notes, performance, longevity, sillage, concentration, or formulation are informational and not guarantees.

We are not responsible for manufacturer reformulations, discontinued packaging, packaging redesigns, changes in ingredient disclosures, batch-code database inaccuracies, subjective dissatisfaction with scent, or differences between a product and a customer's memory or expectation of a fragrance.

Placing an order does not guarantee acceptance. An order is accepted only when we confirm acceptance or ship the order. We may refuse, cancel, hold, or require verification for any order for reasons including:

• Pricing, description, or inventory errors
• Suspected fraud or unauthorized payment
• High-value order verification
• Shipping restrictions or hazardous-material limitations
• Address problems
• Customs or carrier restrictions
• Suspicious order patterns
• Authenticity or sourcing concerns
• System, payment, or platform errors

Prices, promotions, product availability, shipping services, and product descriptions may change without notice. We reserve the right to correct errors, inaccuracies, or omissions, including after an order has been submitted, to the fullest extent permitted by law.

If we cannot fulfill an accepted order, we will provide an appropriate refund, store credit, replacement option, or delay notice as required by applicable law and our policies.

All orders are subject to payment authorization, fraud screening, address verification, identity verification, and internal review. For high-value orders, unusual order patterns, mismatched billing and shipping information, freight forwarding addresses, or other risk factors, we may request additional verification before shipping.

By placing an order, you authorize us and our payment, fraud prevention, shipping, and platform service providers to process information necessary to evaluate and complete the transaction.

We may cancel any order if verification cannot be completed or if we reasonably suspect fraud, payment misuse, chargeback abuse, unauthorized resale activity, or violation of these Terms.

If you have a concern with an order, you agree to contact us first so we can attempt to resolve the issue. Filing a chargeback or payment dispute without first allowing us a reasonable opportunity to resolve the issue may delay resolution and may result in account restrictions.

We reserve the right to dispute chargebacks using order records, tracking data, delivery confirmation, photos, communications, fraud-screening evidence, policy acknowledgments, and any other relevant documentation.

Nothing in this section limits your rights under applicable payment-card network rules, consumer protection laws, or other non-waivable rights.

Shipping is governed by our Shipping & Insurance Policy.

Many fragrance products contain alcohol or other materials that may be classified as hazardous, flammable, restricted, or limited-quantity goods for shipping purposes. Shipping methods may be limited to ground transportation, and some products may be ineligible for air, international, military, forwarding, or certain carrier services.

We may modify the shipping method, cancel an order, split an order, delay shipment, or refuse shipment if needed to comply with carrier rules, hazardous-material rules, customs rules, or applicable law.

Risk of loss for a package generally transfers to the customer when the carrier confirms delivery to the address provided at checkout, except where a different rule is required by law. We are not responsible for theft, loss, or damage after confirmed delivery, except as required by law or expressly stated in our Shipping & Insurance Policy.

Returns, refunds, cancellations, damages, defective items, final sale categories, restocking fees, and store credit are governed by our Refund Policy.

Because fragrance products are susceptible to tampering, evaporation, decanting, refilling, contamination, and hygiene concerns, many product categories may be final sale or return-limited. You are responsible for reviewing the product listing and Refund Policy before purchasing.

If we offer sourcing, preorders, rare-fragrance requests, batch-specific requests, concierge purchasing, or special orders, the following terms apply unless otherwise stated in writing:

• Sourcing requests are not guaranteed.
• Estimated sourcing or shipping timelines are estimates, not guarantees.
• Batch-specific, vintage, rare, discontinued, international, or special-order items may be final sale.
• Deposits, cancellation fees, or sourcing fees may apply if disclosed before purchase.
• We may decline or cancel a sourcing request if authenticity, legality, supplier reliability, carrier compliance, or availability cannot be reasonably verified.
• Orders containing both in-stock and preorder/sourced items may ship together unless otherwise stated.

If a shipment is delayed beyond the stated or reasonably expected timeframe, we will provide delay notice, cancellation options, or refunds as required by applicable law.

If you sell, consign, trade, or submit products to Kaizen Fragrance, you represent and warrant that:

• You are the lawful owner or authorized seller of the product.
• The product is authentic.
• The product is not stolen, counterfeit, refilled, diluted, adulterated, unlawfully imported, or subject to any lien or claim.
• All condition, fill level, packaging, batch, defect, and history information you provide is accurate and complete.
• You have disclosed any known issues, including leakage, evaporation, altered packaging, missing parts, prior repairs, suspicious sourcing, or authenticity concerns.
• Your transaction with us complies with all applicable laws.

We may inspect, reject, return, hold, dispose of, or report items that we believe are counterfeit, stolen, unsafe, unlawfully sold, materially misrepresented, leaking, damaged, contaminated, or otherwise unsuitable for resale.

Unless a separate written agreement says otherwise, seller payments may be held until inspection, authentication review, buyer acceptance period, return window, chargeback risk period, or other commercially reasonable review is complete.

You agree to indemnify Kaizen Fragrance for losses, claims, chargebacks, refunds, shipping costs, legal fees, platform fees, penalties, and damages arising from counterfeit, stolen, defective, misrepresented, unsafe, or unlawfully sold items you provide.

All website design, text, original photos, graphics, logos, layouts, product organization, copy, videos, software, data, and other content created by Kaizen Fragrance are owned by or licensed to Kaizen Fragrance and are protected by intellectual property laws.

You may access and use the website for personal, lawful, non-commercial use or to purchase products from us. You may not copy, scrape, reproduce, distribute, modify, reverse engineer, republish, sell, exploit, or use website content for commercial purposes without our written permission, except as allowed by law.

Third-party brand names, product names, images, descriptions, and trademarks remain the property of their respective owners.

You may be able to submit reviews, comments, photos, questions, feedback, social media tags, testimonials, or other content ("User Content"). By submitting User Content, you represent that:

• You own or have the right to submit it.
• It is accurate to your genuine experience.
• It does not infringe anyone's rights.
• It is not false, misleading, defamatory, abusive, obscene, discriminatory, unlawful, spam, or harmful.
• You will disclose any material connection, incentive, free product, discount, employment, family relationship, or business relationship related to the review or testimonial.

You retain ownership of your User Content. By submitting it, you grant Kaizen Fragrance a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, display, distribute, adapt, excerpt, publish, and create derivative works from the User Content for website, marketing, customer service, and business purposes, subject to applicable law.

We do not require you to assign ownership of your reviews to us, and we do not prohibit honest reviews or penalize customers for lawful, truthful, good-faith reviews. We may remove, edit, decline, or moderate User Content that violates these Terms, contains private information, is unrelated, contains profanity or abuse, appears fraudulent, contains spam, discloses confidential information, infringes rights, or is otherwise inappropriate.

The website may link to or integrate with third-party services, including payment processors, shipping carriers, fraud-prevention tools, email/SMS providers, analytics tools, review platforms, social media platforms, marketplace tools, or e-commerce platforms.

We are not responsible for third-party websites, policies, acts, omissions, downtime, data practices, or service failures. Your use of third-party services may be governed by their terms and privacy policies.

Our collection and use of personal information is governed by our Privacy Policy. By using the website or placing an order, you agree that we may collect, use, disclose, and retain information as described in that policy.

The website, services, product information, and all website content are provided on an "as is" and "as available" basis to the fullest extent permitted by law.

Except as expressly stated in a product listing or required by law, Kaizen Fragrance disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.

Some products may be covered by manufacturer warranties, but resale, open-box, tester, vintage, discontinued, partial, decanted, or sourced items may not qualify for manufacturer support. Kaizen Fragrance does not provide manufacturer warranty service unless expressly stated.

To the fullest extent permitted by law, Kaizen Fragrance will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from or related to the website, services, products, shipping, delays, account access, product expectations, scent performance, third-party services, or these Terms.

To the fullest extent permitted by law, our total liability for any claim arising from a product purchase will not exceed the amount you paid for the specific product giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Kaizen Fragrance, its owners, officers, employees, contractors, vendors, service providers, and affiliates from and against claims, losses, damages, liabilities, costs, fees, chargebacks, penalties, and expenses, including reasonable attorneys' fees, arising from:

• Your violation of these Terms or our policies.
• Your misuse of the website or services.
• Your violation of law.
• Your infringement or misappropriation of another person's rights.
• Your User Content.
• Products you sell, consign, trade, or submit to us.
• False, fraudulent, counterfeit, stolen, unsafe, or misrepresented items or information provided by you.

We are not responsible for delays, failures, or inability to perform caused by events outside our reasonable control, including natural disasters, severe weather, carrier disruptions, labor disputes, customs delays, supply shortages, payment network outages, platform outages, cyber incidents, regulatory changes, war, terrorism, public health emergencies, or other force majeure events.

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules, unless another jurisdiction's law is required to apply.

Subject to any non-waivable consumer rights, disputes arising from or related to these Terms, the website, or purchases from Kaizen Fragrance will be brought in the state or federal courts located in Franklin County, Ohio, and you consent to the jurisdiction of those courts.

We may update these Terms from time to time. Changes are effective when posted on the website unless a later effective date is stated. Your continued use of the website after changes are posted means you accept the updated Terms.
